Overview

The Corporate Paralegal is a critical member of the Legal Team - often serving as the first point of contact for the Legal Team's clients. The role's primary responsibilities include Legal Team workflow management, internal client relationship management, contract review and redlining, and legal resource, policy, and template maintenance. The Corporate Paralegal works closely with the General Counsel and other members of the Legal Team and assists with legal and regulatory research and compliance, responding to subpoenas and other legal inquiries, and drafting policies, procedures, and training materials.

Additional Details:

  • Support the General Counsel and Legal Team in the management of department workflow, including the fielding and prioritization of incoming requests and communicating with internal clients regarding response times.

  • Conduct contract reviews independently. Identify associated legal issues and recommend redlines based on the company's Contract Policy and risk tolerance.

  • Assist with drafting and maintenance of policies, contract templates, standard forms and training materials.

  • Assist with the development and maintenance of Legal Team manuals and resource library.

  • Assist with the collection of information and preparation of responses to subpoenas.

  • Provide support for responses to regulatory inquiries (e.g., unemployment, tax, audit, medical board, etc.).

  • Assist in coordinating legal holds and e-discovery.

  • Conduct online legal research (i.e., federal, state, local, case law, secondary sources, etc.) and prepare summary memorandums.

  • Work with the Legal Team, corporate finance team, corporate legal team and corporate risk team, as applicable, to create, organize and maintain limited liability companies and professional corporations, and prepare and submit regulatory compliance-related documents and filings.

  • Assist General Counsel with Contract Lifecycle Management system and legal operations initiatives (e.g., development of training resources).

  • Support the General Counsel and Legal Team on special projects or other duties as assigned.

  • Contract review, redlining and drafting.

  • Intermediate to advanced knowledge of Microsoft Word and Microsoft Outlook.

  • Working knowledge of Microsoft Excel, Microsoft PowerPoint and Microsoft Teams

  • High School Diploma or equivalent.

  • Paralegal Certificate or degree in Paralegal Studies.

  • 5+ years of contracting experience (in-house or law firm).

  • 2+ years of in-house legal team operations preferred and workflow management preferred.

  • Healthcare industry experience preferred.

  • Government RFPs and contracts experience preferred.

  • Contract Lifecycle Management systems preferred.
